I don’t think you can solve these problems with tax policy though. A better approach, I think, it reworking corporate governance. Require employee representation on the board of directors of publicly traded companies, require publicly traded companies to offer 401(k)’s that include company stock (thereby potentially creating another avenue for employee representation on the board). Ultimately, we have to get away from the shareholder primacy view of corporate governance and more towards a stakeholder view.
