The UAW takes money from the workers to represent them, and their interests to management. A huge sum of money, like two grand a year per worker. Do you think that when contract time comes around the UAW will be able to represent and fight for labor? Or do you think there is a conflict of interest? Who will represent the rights of the worker?

Again: it isn’t the UAW who’s being offered a board seat. It’s the UAW Pension Fund, which is a completely separate entity from a legal standpoint. The UAW can continue in it’s traditional adversarial role without any (legal) conflict of interest.
